Last updated: September 2026

These Terms and Conditions (“Terms”) govern your use of the OrraData website and services.

By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

1. About OrraData

OrraData provides business consulting and technology solutions, including analytics, AI solutions, digital transformation, data protection, research, and training services.

Specific projects may be subject to a separate proposal, statement of work, service agreement, or other contract. If there is a conflict, the specific agreement will apply to that project.

2. Using Our Website

You may use our website for lawful purposes only.

You must not:

  • Use the website to break the law or violate another person's rights.

  • Attempt to gain unauthorized access to our systems.

  • Introduce viruses, malware, or other harmful code.

  • Copy, modify, or distribute our content without permission.

  • Use our website to mislead, abuse, or harm others.

3. Our Services

We will provide services according to the scope, deliverables, timelines, and fees agreed with the client.

We will make reasonable efforts to provide professional and reliable services. However, specific results may depend on information, decisions, resources, and actions provided by the client or other parties.

We do not guarantee that our services will achieve a particular business, financial, regulatory, or operational result unless expressly agreed in writing.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information.

  • Providing information and access reasonably needed to perform the services.

  • Reviewing and approving deliverables where required.

  • Making business and operational decisions based on their own judgment.

  • Ensuring that information they provide to OrraData may lawfully be used and processed.

5. Intellectual Property

OrraData retains ownership of its existing software, tools, frameworks, methodologies, templates, designs, know-how, and other intellectual property.

Unless otherwise agreed in writing, clients retain ownership of materials they provide to OrraData.

Ownership and permitted use of project-specific deliverables will be defined in the relevant service agreement or proposal.

6. AI-Generated Content

Some OrraData services may use artificial intelligence.

AI-generated information may sometimes be inaccurate, incomplete, or unsuitable for a particular purpose.

Clients should review important AI-generated information before relying on it for business, legal, financial, regulatory, employment, or other significant decisions.

7. Personal Data and GDPR

OrraData respects applicable data protection laws, including the GDPR where it applies.

Our Privacy Policy explains how we collect and use personal information.

When OrraData processes personal data on behalf of a client, the client may act as the data controller and OrraData as the data processor.

Where required, the parties will enter into a separate Data Processing Agreement (DPA). The DPA will govern the processing of personal data on the client's behalf.

Both parties will comply with their applicable data protection obligations.

8. Confidentiality

We will treat confidential information received from clients as confidential and will use it only for the agreed purpose.

Clients must also protect confidential information relating to OrraData, including non-public business information, technology, pricing, and materials.

These obligations do not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.

9. Third-Party Services

Our services may use third-party software, cloud services, AI providers, analytics tools, payment services, or other technology.

Third-party services may have their own terms and privacy policies.

We are not responsible for services that we do not control.

Where third-party processing involves personal data, we will take appropriate steps required by applicable data protection law.

10. Fees and Payment

Fees, payment schedules, taxes, and other commercial terms will be stated in the relevant proposal, invoice, or service agreement.

Unless otherwise agreed, invoices must be paid according to the agreed payment terms.

We may suspend services for substantially overdue payments after providing reasonable notice.

11. Service Changes and Availability

We may update or improve our website, products, and services from time to time.

We will make reasonable efforts to maintain service availability, but we cannot guarantee that our website or online services will always be available or error-free.

12. Limitation of Liability

To the extent permitted by law, OrraData will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, revenue, business opportunities, or data.

Unless a separate agreement provides otherwise, OrraData's total liability arising from a service will not exceed the fees paid by the client for that service during the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

13. Termination

Either party may end a service according to the terms of the relevant service agreement.

We may suspend or terminate access to our website or services if you seriously or repeatedly violate these Terms, fail to pay agreed fees, or use our services unlawfully.

Termination does not affect rights or obligations that arose before termination.

14. Changes to These Terms

We may update these Terms from time to time.

When we make significant changes, we will provide reasonable notice. The latest version will be published on our website.

15. Governing Law

These Terms are governed by the laws of [insert jurisdiction], unless applicable law requires otherwise.

Any dispute will first be addressed through good-faith discussion between the parties. If the dispute cannot be resolved, it will be handled by the courts of [insert jurisdiction], unless the parties agree otherwise.
